Executed: The signed order form of 11 Jun 2026 sets Starter at £22k invoiced annually in advance plus £6,000 implementation, Net 30 days. The term runs 25 Jun 2026 to 24 Jun 2027, alongside the signed MSA and DPA of the same date.
The order form sets 99.5% monthly uptime, a P1 first response of 4 business hours and a nightly refresh complete by 07:00. Service credits are 5% of one month's subscription fee for availability only, with nothing for stale data.
Open items: Proposal v1 of 6 May 2026 (stored as draft) and the Proposal of 11 May 2026 (stored as final) were never shown as signed. The draft MSA v2 of 26 May 2026 matches the executed price, term and service levels and was superseded on 11 Jun 2026.
Contradictions:
- Renewal mechanism: the order form auto-renews for successive 12-month terms, but the signed MSA states no renewal mechanism, and the order form says the MSA controls in any conflict.
- Renewal price: Proposal v1 of 6 May 2026 prices renewals at the current year's Starter list; the order form states no renewal price.
- Go-live: Proposal v1 promised go-live by mid-June, but the executed term starts 25 Jun 2026 and the onboarding plan is dated 28 Jun 2026.
- Connector timing: the onboarding plan of 28 Jun 2026 sets connectors live by end of week two but its success criterion allows 15 business days.
Commitments: Non-renewal needs 90 days' written notice before 24 Jun 2027, otherwise the order renews. The DPA binds BB-Demo to act only on written instructions, use no unauthorised sub-processors, and delete or return data at termination.
The DPA indemnity for fines, penalties and claims states no cap. The signed MSA also states no liability cap.
Gaps: All seven documents were read. Customer signatories appear by role only, the order form names no connectors or go-live date, and the onboarding plan gives no kick-off date.
The documents do not show whether the onboarding milestones were met or whether invoices were raised and paid.
