Llano Crossing Software - Data Processing Agreement
1. Background
BB-Demo Limited ("Processor") shall process personal data on behalf of Llano Crossing Software ("Controller") in accordance with the terms of this Data Processing Agreement and the Master Services Agreement.
2. Processing Scope
The Processor shall process personal data contained within the Customer's data sources (CRM, call recordings, emails, tickets, product usage, finance and HR data) solely to provide the services defined in the Master Services Agreement.
3. Instructions
The Processor shall process personal data only on documented written instructions from the Controller, including regarding international transfers, unless required to do so by applicable law.
4. Confidentiality
The Processor shall ensure that persons authorised to process personal data have committed to confidentiality or are under an appropriate legal obligation of confidentiality.
5. Security

The Processor shall implement and maintain technical and organisational measures appropriate to the risk, including encryption, access controls, and regular security reviews. The Processor's infrastructure is hosted within the Customer's own Snowflake account.
6. Sub-processors
The Processor shall not engage sub-processors without prior written authorisation from the Controller.
7. Data Subject Rights
The Processor shall assist the Controller in fulfilling data subject access requests and other rights under applicable data protection law, at the Processor's expense.
8. Deletion and Return
Upon termination of services, the Processor shall, at the Controller's choice, delete or return all personal data.
9. Liability
The Processor shall indemnify and hold harmless the Controller against any fines, penalties or claims arising from the Processor's breach of this agreement.
10. Entire Agreement
This agreement is incorporated into and forms part of the Master Services Agreement.
