What the paper says
Document roll-up
Current to 13 Oct 26The executed renewal order form of 6 May 2026 sets Enterprise at £114k a year, 1 Jun 2026 to 31 May 2027, 160 users. All drafts are superseded. The 19 May 2026 QBR still cites £103k and a 31 May 2026 end, and a 10-user block is now £3,500 against £4,000 before.
Executed: The current paper is the order form signed by both sides on 6 May 2026, Enterprise tier, 1 Jun 2026 to 31 May 2027, at £114k a year. It holds a £110k subscription line and an additional 10 users line at £3,500, with 0% discount and 160 licensed users.
Executed: The Master Services Agreement and the Data Processing Agreement were both signed 23 May 2025. The first-term order form of 23 May 2025 and the 9 Feb 2026 add-on order both ended 31 May 2026.
Executed: The 23 May 2025 order form set £99k a year after a 10% first-term discount, plus a £30k implementation. The 9 Feb 2026 order form added 10 users at £4,000.
Open items: No draft remains open. The 18 Mar 2025 proposal draft, the 22 Apr 2025 MSA draft, the 19 Dec 2025 expansion draft and the 18 Mar 2026 renewal draft are all superseded by executed paper.
Contradictions:
- The 19 May 2026 QBR states £103k contracted annual recurring revenue and a term ending 31 May 2026, after the 6 May 2026 order form set £114k to 31 May 2027.
- The 9 Feb 2026 order form prices 10 additional users at £4,000. The 6 May 2026 order form prices the 10-user block at £3,500.
- The 23 Mar 2026 renewal proposal calls £103k the present contracted figure. No executed document states that figure.
- The 6 May 2026 order form cites a Master Subscription Agreement. The executed agreement of 23 May 2025 is titled Master Services Agreement.
Commitments: The 6 May 2026 order form commits 99.9% availability and a 30 minutes P1 first response. It also commits a credit of 10% of one month's fee for each month with a breach, on availability and data freshness.
Commitments: Billing is annual in advance, 30 days from invoice, in GBP. The DPA requires breach notice without undue delay and deletion or return of data when the services end, and it prevails over the MSA on personal data.
Gaps: All 16 documents were read. No executed document names the customer signatory, and the renewal order form states no renewal notice terms or connector commitments.
Gaps: The 19 May 2026 QBR shows around forty-two active users against 160 licensed. That matters before the term ends on 31 May 2027. Invoices are not among these documents.
