Executed: Tom Ashdown and Matteo Ricci signed the order form on 23 Mar 2026. It buys the Growth tier for 7 Apr 2026 to 6 Apr 2027 at £48k, after a 5% discount off the £50k unit price.
The same form sets a £12k implementation fee due on signature, for a total of £60k. The subscription is billed quarterly in advance on net 30 days.
The signed MSA and the signed DPA carry the same date. The signed MSA repeats the £48k and states that standard pricing applies from renewal.
Open items: Proposal v1 of 7 Jan 2026 and the draft MSA v2 of 16 Feb 2026 were superseded on 23 Mar 2026, when the executed copies were signed. The final Proposal of 12 Jan 2026 was not executed, and the order form overrides it.
Contradictions:
- Billing: both proposals quote annual in advance. The executed order form bills quarterly in advance.
- Refresh deadline: both proposals say 07:00 CET. The executed order form says 07:00 customer local time.
- Implementation fee: the draft MSA of 16 Feb 2026 bills it on engagement commencement. The executed order form makes it due on signature.
- Connector timing: the Onboarding Plan of 7 Apr 2026 has all connectors live in weeks 2 to 4. The signed MSA allows eight weeks.
Commitments: the executed order form promises 99.5% availability and a P1 first response of 1 business hour. It also promises a nightly refresh by 07:00 customer local time and a service credit for unavailability only.
Up to 8 connectors must be live within 8 weeks of 7 Apr 2026. The signed DPA requires prior written consent for any sub-processor and for transfers outside the UK or EEA.
Gaps: all eight documents were read. Neither the order form nor the signed MSA states a renewal notice period or automatic renewal, and the signed MSA names no customer signatory.
The Onboarding Plan does not show whether the connectors went live. The Security Questionnaire of 14 Dec 2025 claims SOC 2 Type II but gives no certificate detail, so it may be stale.
