Parties

- BB-Demo, a London data business (the "Supplier"); and
- Kaltenbrunn Medizintechnik, of Hamburg, Germany (the "Customer").
The Supplier's account owner is Matteo Ricci. The Customer's customer success manager at the Supplier is Elena Novak.
Background
The Customer makes patient-monitoring equipment for hospitals in Germany, Austria and the Nordics. It has chosen the Enterprise tier of the Company Brain so that field service, key accounts and complaints can see each hospital's devices, service tickets and contracts together, with the data held in an EU region. The Supplier builds and runs the Company Brain inside the Customer's own Snowflake account.

Clause one: Term
The subscription starts on 1 May 2026 and ends on 30 Apr 2027, unless renewed in writing. The Supplier's customer success manager will raise renewal with the Customer ahead of the end date, in line with the Supplier's standard renewal notice.
Clause two: Charges and payment
- The subscription is billed annually in advance.
- The implementation fee is a fixed, one-off fee and is invoiced separately from the subscription.
- Invoices are payable within 30 days of the invoice date.
- All charges are in pounds sterling and are exclusive of VAT where applicable.
Clause three: Services
The Supplier will provide the Enterprise tier of the Company Brain to the Customer for the term, including SSO and SCIM and the executive sponsor that come with the tier. The implementation covers the twelve-week programme, support for the Customer's security review, and bringing up to twelve connectors live.

Service credits are payable for a breach of availability and for a breach of data freshness. Availability and freshness are measured separately: a brain that answers on stale data was available, but the freshness commitment is still engaged.
Clause five: Data and security
The Customer's data stays in the Customer's own Snowflake account, in an EU region. The processing of personal data is governed by the Data Processing Agreement signed on the same date, which forms part of this relationship and prevails on data protection matters.
Clause six: Changes
Any change to the lines, term, charges or service levels above must be agreed in writing and signed by both parties. This executed agreement takes precedence over any earlier draft, quotation or system record.
Clause seven: Governing terms
This agreement is governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, subject to any mandatory rights the Customer has under applicable law.
